Bankruptcy n. 12/2019 of the Court of Modena.
Sale pursuant to Article 107 paragraph 1 L.F.
The legal receiver starts a competitive procedure aimed at the acquisition of irrevocable offers for the purchase of the business complex owned by the bankrupt company concerning the production of atomised material for the ceramic industry.
The company is offered for sale, in a single lot, at the base price of Euro 550,000.00 (five hundred and fifty thousand / 00).
The company is composed as follows:
- Movable assets: machinery for the production of atomised material, as well as office furniture and machinery, as described in the inventory report of the assets acquired in bankruptcy assets; for a better description of the company and for information on the state of the assets, please refer to the appraisal report, drawn up by the surveyor Omissis, on file from the procedure.
- Contracts:
lease contract for the Spilamberto plant, via Vignolese n. 2695, in which the Purchaser will take over pursuant to art. 36 l. 392/78, starting from 1/7/2017 for a duration of 6 years with the right granted to the tenant to withdraw from the contract by giving at least 6 months notice; annual rental fee: for the first 3 years Euro 170,000.00; from the fourth year Euro 200,000.00 (plus VAT);
13 employment contracts (in relation to which all the necessary information can be provided by the labor consultant Omissis)
The assets are located in Spilamberto (MO)
The company is currently rented with the lease term ending on 12 March 2021 and the tenant's right of first refusal
Interested parties must send, no later than 6.00 pm on February 2, 2021, by registered letter with return receip, with acknowledgment of receipt, addressed to the Legal Receiver avv. Cristina Severi
The offer must be irrevocable for at least 180 days and must be duly secured in the manner described in the notice of sale, in an amount equal to 10% of the price offered
The envelopes will be opened by the Legal Receier, in public session, at his studio in Modena, Largo Garibaldi n. 12 on 3 February 2021 at 3 pm.
