Lot Description

INVITATION TO OFFER

It is hereby announced that:

a) The company Pelletteria Luisa Testi S.r.l. (hereinafter also the Company), in the person of the Legal Representative pro tempore, with registered office in Monticello Conte Otto (VI), Via Astico, 2/F, CAP 36010, share capital approved and subscribed Euro 10,000.00, paid Euro 2,500.00, registered in the Company Register of Vicenza under number 03331540249, operates in the sector of the production of leather goods such as bags and accessories;
b) The Company has accessed the Negotiated Crisis Resolution procedure, governed by Title II, Chapter I, art. 12 et seq. of the Corporate Crisis and Insolvency Code (Legislative Decree 12 January 2019, no. 14, as updated by Legislative Decree 13 September 2024, no. 136), within which Dr. Luca Crisanti, registered with the ODCEC of Treviso, was appointed as Expert;
c) The Company has received an irrevocable proposal to purchase the Business Unit, having as its object the activity of producing leather goods such as bags and accessories, and constituted as follows:
a) employment relationships with the dependent personnel employed by the Company in a number of units not exceeding 12; 
b) debts relating to the transferred employees consisting exclusively of the T.F.R., the permits and holidays accrued and not enjoyed, the supplementary monthly salary quotas; 
c) the assets pertaining to the business unit;
d) trade receivables not yet due.

The following are excluded from the transfer of the business unit: (i) the debts of the Company, with the exclusive exception of debts towards employees referred to in the previous letter b); (ii) commercial contracts to which the Company is a party; (iii) the properties, owned or leased, where the Company carries out its business.

The price for the purchase of the Business Unit described above is equal to the total debts of the Business Unit (including possible tax penalties) and the management costs of the negotiated settlement process, as well as the cost of some Restoration Works of the real estate complex where the business is currently carried out up to a maximum of Euro 25,000.00 (twenty-five thousand/00) (“Price”) and in any case for a maximum amount of Euro 500,000.00 (five hundred thousand/00) (“CAP”).

Given the above, the Company, as represented above

INVITES

any interested parties to submit to the appointed Expert, Dr. Luca Crisanti, registered with the ODCEC of Treviso, offers for the purchase of the above-mentioned Business Unit at a price equal to or higher than the one indicated above, delivering them to the office of the same, located in Via G. E. L. Olivi, 38 - 31100 TREVISO (TV) or by certified email luca.crisanti@giapec.itno later than 12:00 on 12 June 2025.
