Dr. Silvia Passilongo, with an office in Nogarole Rocca (VR), at Via Dossetto 5, Trustee (hereinafter the "Professional") of the aforementioned Procedure (hereinafter the "Procedure"),

INFORMS

that on September 23, 2025, at 3:00 PM, the asynchronous electronic sale will take place on the portal www.venditegiudiziarieitalia.it, under the conditions described below, of the following property:

SINGLE LOT: "POLIAMBULATORIO AMICA SALUTE" COMPANY, OPERATING AS A BUSINESS

Company with two employees, operating a medical polyclinic, which relies on the collaboration of specialist doctors who operate the facility's premises, used under a lease agreement, for the provision of specialist medical services and the performance of blood sampling. blood samples, and the performance of other diagnostic and clinical analysis activities.

Starting bid: €60,000.00

Minimum bid accepted: €60,000.00

Minimum increase: €2,000.00

The business unit consists of the organized complex of tangible and intangible assets, as follows:

a) Health authorization no. 3/2020 pursuant to Regional Law 22/2002, relating to activity B.5 Polyclinic, other certifications required for the operation of the business, as well as authorization for blood sampling point B.5.14, constituent elements of the company's goodwill;

b) figurative trademark "Amica salute" and domain "amicasalute.it";

c) movable capital assets, including electromedical equipment, equipment, and furnishings, subject to an appraisal by Abilio S.p.A.;

d) lease agreement for the property located in Legnago (VR), at Via Pellini 23, in the Vangadizza district, adjacent to the pharmacy;

e) employment relationships in existence at the date of the business transfer, namely, one nurse and one part-time administrative employee, with permanent contracts;

f) other pending contracts pertaining to the business, such as electricity and water utilities, alarm system, Doctolib software for managing patient appointments and health data, telephone system and IT infrastructure, and insurance policy (banking relationships are excluded from the scope of the business);

g) obligation to comply with certain ULSS (Local Health Authority) requirements, which require the completion of courses for employees and the purchase of disposable equipment as quoted by suppliers;

h) (optional) severance pay debt accrued by employees still employed.

The company's receivables and liquid assets are expressly excluded from the scope of the business. Regarding debts, it is specified that pursuant to Article 214 of the Italian Civil Code, the buyer is excluded from liability for debts of Amica Salute S.r.l. relating to the operation of the sold business (other than those arising from contractual relationships still unperformed or incompletely performed by both parties) pertaining to the period prior to the sale of the business, unless otherwise expressly agreed upon by the parties.

In addition to the above, any consumables remaining at the date of delivery of the business are considered included in the scope of the sale, to be valued at purchase cost in consultation with the successful bidder.

Abilio S.p.A. will set up and manage a Virtual Data Room for uploading confidential documents relating to the assets for sale. The Data Room allows access to additional documentation beyond that uploaded to the www.industrialdiscount.it portal for those interested in purchasing the assets. Such access will be permitted only upon signing a non-disclosure agreement, to be sent signed and accompanied by the required documents to Abilio's certified email address.

ASYNCHRONOUS ELECTRONIC SALES PROCEDURE

on the portal www.venditegiudiziarieitalia.it

Electronic offers must be received by the bidders no later than 12:00 noon on September 22, 2025, by sending them to the Ministry's certified email address (offertapvp.dgsia@giustiziacert.it), using only the pre-filled form available on the ministry portal http://venditepubbliche.giustizia.it. The electronic bid is considered submitted when the complete delivery receipt is generated by the Ministry of Justice's certified email provider.

The asynchronous auction will take place on the website www.venditegiudiziarieitalia.it on September 23, 2025, starting at 3:00 PM and continuing for two hours, subject to the submission of further bids.
