Sale of 20% of the share capital of the company
"SPECIAL PURPOSE VEHICLE - 2 - POLESANA S.R.L. - AGNA "under SPV2 SRL
AGNA with head office in Adria (RO). Dedicated to the execution of works and
services and management of the municipal cemetery of Agna.
The capital of the company is equal to € 119.000.
The capital share helb by the Bankruptcy company is equal to
€ 23.800, paid for € 5.950.
It should be noted that the circulation of the share is
subject to the pre-emption of the shareholders and to the approval of 90% of
the shareholders, as indicated in Article 8 of the Articles of Association, as
well as the consent of the Municipality of Agna (PD), as indicated Article 8 of
the Bylaws and in the concession contract for the completion of the municipal
cemetery of Agna and its management, dated 15.03.2007; the contract also
stipulates that the sub-contracting parties must possess the same technical
characteristics as the subjects operating within the company and in any case must
possess the general conditions required by the public procurement legislation,
in particular for compliance with the rules against delinquency.
PLEASE NOTE: the Procedure has already received an
irrevocable purchase for the total amount of € 5,950, therefore the offered
price can not be less than € 6,950 (equal to the minimum raise of € 1,000.00 in
addition to the tender offer of the Procedure).
In case of no other offers received, the capital share will
be considered automatically awarded to the highest bidder, therefore the assets
will not be re-proposed at auction.
The bids must be presented in a sealed envelope at the IT
Auction head office in via G. Galilei n. 6, 48018 Faenza (RA), not later than
the 26/02/2019.
In the case of of valid offers, the online auction will be
held on 27-02-2019 from 15.00 to 17.00.
