COMPOSITION WITH PREVENTIVE BANKS No. 5/2020

Dr. Paolo Maria Romano, as Liquidator of Matrunita Mediterranea S.r.l., in liquidation and subject to the composition with creditors procedure referred to in the preface,

GIVES NOTICE

that on December 22, 2025, at 11:00 a.m., an asynchronous sale (in a single lot) will be held on the portal www.venditegiudiziarieitalia.it, under the conditions described below, of the company's business unit comprising the residual assets of the procedure, specifically:

a) The company shares, specifically

- Brajot Niflaot LLC, with registered office in Wilminton, Delaware (USA) 19801-1186 – No. 1201 Orange Street, Suite 700, Delaware – US, in which Matrunita Mediterranea S.r.l. owns a 100% stake - AUREN appraisal value of Sept. 2020: USD 2,786,000.00 equal to €2,372,000.00 exchange rate Sept. 2025.

- Bees Brother LLC, with registered office in Florida (USA) FL 33134 – 2990 - Ponce de Leon Blvd. Suite 202 - Coral Gables – US, in which Matrunita Mediterranea S.r.l. holds a 50% stake - AUREN appraisal value of Sept. 2020: USD 10,689,000.00 equal to €9,100,000.00 at Sept. 2025 exchange rate, for 100% corresponding to €4,550,000.00 for 50% of Matrunita Mediterranea and related governance rules available in the data room in the attachments dated November 29, 2019 and related legal opinions.

- Matrunita Italica (NewCo miele), with registered office in Vado Ligure (SV), Via Trieste, 25, Tax Code/VAT No. 01815950090 in which Matrunita Mediterranea S.r.l. owns a 100% stake - Legacy 1994 appraisal value of Sept 2025: equal to €2,045,000.00 gross of €297,387.90 for reconstitution of Net Equity, therefore for a net value of €1,747,295.82.

- Mater Mediterranea (NewCo consumer) with registered office in Vado Ligure (SV), Via Trieste, 25, Tax Code/VAT No. 01815960099 in which Matrunita Mediterranea S.r.l. holds a 100% stake - Legacy 1994 appraisal value of Sept 2025: equal to €955,825.00 gross of €645,336.29 for reconstitution of Net Equity, therefore for a net value of €310,488.71. It should be noted that the production and packaging plants, intangible assets such as trademarks, patents, and goodwill including the active and passive contracts are leased to the subsidiaries MATRUNITA ITALICA SRL and MATER MEDITERRANEA SRL pursuant to the business unit lease agreements entered into with them (Matrunita Italica Srl business unit lease agreement and related supplements and attachments and Mater Mediterranea Srl business unit lease agreement and related supplements and attachments) and valued accordingly.

b) The garage located at Largo delle Coffe 1, Savona, with an appraisal value of €21,000.00.

The above assets are further described in the appraisals, reports, and documentation uploaded to the Virtual Data Room (VDR) specified below. Interested parties should consult these documents, which are also expressly referred to for any information regarding any charges or encumbrances of any kind affecting the assets. Participation in this online procedure presupposes review and acceptance of all documentation contained in the VDR.

Starting bid: €9,000,000.00 (nine million)

Minimum bid: €50,000.00 (fifty thousand)

For details and information regarding the factual and legal status of the business unit for sale, please refer to the documentation published on the www.industrialdiscount.it portal and the Virtual Data Room. Abilio S.p.A. declines all responsibility for any failure to provide such information.

Abilio S.p.A. will set up and manage a Virtual Data Room for uploading confidential documents relating to the assets for sale. The Data Room provides access to additional documentation beyond that uploaded to the www.industrialdiscount.it portal to those interested in purchasing the aforementioned single lot. This access will be granted only upon signing a non-disclosure agreement, which must be sent signed and accompanied by the requested documents to Abilio's certified email address.

ASYNCHRONOUS SALES PROCEDURE

Electronic offers must be received by the bidders no later than 12:00 noon on December 19, 2025, by sending them to the Ministry's certified email address (offertapvp.dgsia@giustiziacert.it), using only the pre-filled form available on the ministry portal http://venditepubbliche.giustizia.it. The electronic bid is considered submitted when the complete delivery receipt is generated by the Ministry of Justice's certified email provider.

The asynchronous auction will take place on the website www.venditegiudiziarieitalia.it on December 22, 2025, starting at 11:00 AM and following, and will last two hours, subject to the submission of further bids.
