that on 10 February 2026 at 11:00 a.m. an asynchronous sale (single lot) will be held on the portal www.venditegiudiziarieitalia.it, under the conditions set out below, concerning the business unit of the company comprising the residual assets of the procedure, namely:
a) Equity interests, specifically:

Brajot Niflaot LLC, with registered office in Wilmington, Delaware (USA) 19801-1186 – 1201 Orange Street, Suite 700 – Delaware, US, in which Matrunita Mediterranea S.r.l. holds a 100% interest.Appraised value (AUREN, Sept. 2020): USD 2,786,000.00, equal to EUR 2,372,000.00 at the Sept. 2025 exchange rate.

Bees Brother LLC, with registered office in Florida (USA) FL 33134 – 2990 Ponce de Leon Blvd., Suite 202 – Coral Gables, US, in which Matrunita Mediterranea S.r.l. holds a 50% interest.Appraised value (AUREN, Sept. 2020): USD 10,689,000.00, equal to EUR 9,100,000.00 at the Sept. 2025 exchange rate for 100%, corresponding to EUR 4,550,000.00 for the 50% interest held by Matrunita Mediterranea, together with the related governance rules available in the data room in the attachments dated 29 November 2019 and the related legal opinions.

Matrunita Italica (NewCo honey), with registered office in Vado Ligure (SV), Via Trieste 25, Tax Code/VAT No. 01815950090, in which Matrunita Mediterranea S.r.l. holds a 100% interest.Appraised value (Legacy 1994, Sept. 2025): EUR 2,045,000.00, gross of EUR 297,387.90 for the reconstitution of Net Equity, therefore a net value of EUR 1,747,295.82.

Mater Mediterranea (NewCo consumer), with registered office in Vado Ligure (SV), Via Trieste 25, Tax Code/VAT No. 01815960099, in which Matrunita Mediterranea S.r.l. holds a 100% interest.Appraised value (Legacy 1994, Sept. 2025): EUR 955,825.00, gross of EUR 645,336.29 for the reconstitution of Net Equity, therefore a net value of EUR 310,488.71.It is specified that the production and packaging plants, the intangible assets (including trademarks and patents), and goodwill, including active and passive contracts, are leased to the subsidiaries Matrunita Italica S.r.l. and Mater Mediterranea S.r.l. pursuant to the respective business unit lease agreements (business unit lease agreement with Matrunita Italica S.r.l. and related amendments and attachments; business unit lease agreement with Mater Mediterranea S.r.l. and related amendments and attachments) and are valued within that context.
b) Garage/box located in Savona, Largo delle Coffe 1, appraised value: EUR 21,000.00.
The above assets are more fully described in the appraisals, reports and documentation uploaded to the Virtual Data Room (VDR) specified below, which must be consulted by interested parties and to which express reference is made, including with regard to the existence of any charges or encumbrances of any kind affecting the assets. Participation in this telematic procedure implies acknowledgment and acceptance of all documentation contained in the VDR.
For details and information regarding the factual and legal status of the business unit for sale, please refer to the documentation published on www.industrialdiscount.it and in the Virtual Data Room; any liability for lack of information on the part of interested parties is disclaimed.
Abilio S.p.A. will arrange and manage a Virtual Data Room intended to host confidential documents relating to the assets for sale. The Data Room allows access to additional documentation beyond that uploaded on www.industrialdiscount.it for parties interested in purchasing the single lot. Access will be granted exclusively upon execution of a non-disclosure agreement, to be sent duly signed and accompanied by the required documents to Abilio’s certified email address (PEC).
Telematic offers must be submitted by the offerors no later than 12:00 p.m. on 09/02/2026 by sending them to the Ministry’s PEC address offertapvp.dgsia@giustiziacert.it, using exclusively the pre-filled form available on the ministerial portal http://venditepubbliche.giustizia.it. A telematic offer is deemed filed at the moment the complete delivery receipt is generated by the Ministry of Justice’s certified email service provider.
The asynchronous auction will take place on www.venditegiudiziarieitalia.it on 10 February 2026 starting at 11:00 a.m. and will last 2 hours, unless further bids are submitted.
