ADVERTISING ASSIGNMENT

Transfer of 100% stake in the share capital of the company “Impar S.r.l.” with registered office in Monte Roberto (AN), Piazzale della Fornace, 10, registered in the Marche Company Register under no. 02075910428, REA n. AN-159287.

It is specified that:

-The company owns a real estate complex located in the municipality of Monte Roberto (AN).

-The share capital of the company is equal to 25,000.00 euros and is fully paid up. The net equity resulting from the approved financial statements with reference to the 2022 financial year is negative by 9,838,890 euros.

-The transfer will take place in the state of fact and law in which the company in which the shareholding is held is located as described.

-In the event that the company holds goods included in the warehouse or capital goods that do not comply with the regulations currently in force on the matter, they will be considered the subject of the contract solely as goods "to be scrapped"
