JUDICIAL LIQUIDATION No. 14/2026
WHEREASBy Judgment No. 29/2026 of the Court of Vicenza, published on 6 February 2026, Brotter S.r.l., having its registered office in Marostica (VI), Piazza F. Filippi No. 18, was declared subject to judicial liquidation. The company owns a business undertaking engaged in the manufacture of metal structures and assembled structural components, carried out at the plant located in Nove (VI), Via S. Righetto Nos. 12/14.
Abilio S.p.A. has been appointed to manage the disposal of the business unit.
The Trustee's Office has received an irrevocable proposal for the lease of the business unit, together with an irrevocable offer to purchase the business unit at a price of EUR 138,945.00 plus VAT.
The Procedure intends to commence a competitive sale process for the transfer of the business unit, using the aforementioned irrevocable offer as the starting bid. The terms and conditions of such process are governed by these Tender Regulations.
The party that submitted the offer forming the starting bid shall, in any event, be required to register for the auction and participate in the sale process in accordance with these Tender Regulations and the Notice of Sale.
that an asynchronous online auction will be held on the portal www.venditegiudiziarieitalia.it, under the conditions set out below, for the sale of the following asset:
Business UnitA business undertaking engaged in the manufacture of metal structures and assembled structural components, comprising:
i. Existing authorizations and permits required for the operation of the business activity;
ii. All tangible assets, including plants, equipment, tools, molds, furniture, fixtures, office machinery and vehicles, as specifically identified in the inventory and valuation prepared by the expert appointed by the Procedure;
iii. Intangible assets relating to the business unit, including the executive drawings of the metal structures and their component parts, the internet domain www.brotter.it, goodwill, production know-how and product know-how;
iv. Employment relationships with 4 employees;
v. Technical, commercial and occupational safety documentation, together with all records relating to the operation of the business;
vi. The remaining inventory of raw materials, semi-finished products and finished goods, which will be inventoried as of the transfer date and valued at the prices set forth in the valuation report prepared by the expert appointed by the Procedure.
This business unit is currently leased to the offering company, having its registered office in Marostica (VI), Piazza F. Filippi 18, pursuant to a lease agreement executed on 8 April 2026, expiring on 30 September 2026.
Right of First RefusalIt is acknowledged that, pursuant to Article 13.6 of the irrevocable business lease proposal combined with the irrevocable purchase offer, the current lessee is entitled to a contractual right of first refusal, subject to authorization pursuant to Article 212, paragraph 5, of the Italian Insolvency and Crisis Code (CCII).
The Procedure shall notify the final price determined at the conclusion of the sale process. The current lessee may exercise its right of first refusal within 5 days from receipt of such notice. Failing the exercise of such right, the sale may be completed in favour of the successful bidder.
EmployeesThe transfer of the business unit shall entail the transfer of the employment relationships of the 4 employees currently employed, in accordance with Article 2112 of the Italian Civil Code and Article 214 of the CCII.
Existing Receivables and LiabilitiesAs provided by law, the purchaser shall not be liable for debts arising prior to the transfer, which shall remain the responsibility of the Judicial Liquidation Procedure, without prejudice to any agreement regarding accrued severance indemnities (TFR) assumed by the purchaser and deducted from the sale price.
The residual inventory to be inventoried on the transfer date shall be valued in accordance with the expert valuation report.
