MODENA COURTJUDICIAL LIQUIDATION 80 2025 NOTICE OF COMPETITIVE SALE IN TWO ALTERNATIVE LEVELS OF THE BUSINESS ASSETS OR ONLY OF THE MOVABLE ASSETS AND INVENTORY OF OPERA GROUP S R L LEVEL 1 AUCTION NO 10203 Sale of the business assets relating to the production complex of Opera Group S r l The first level concerns the transfer of the business assets relating to the production complex of Opera Group S r l consisting of the machinery equipment and other movable assets identified in Appendix A the inventory identified in Appendix B and the employment relationships indicated in Appendix C within the limits and with the effects provided for by the applicable civil labor and bankruptcy laws It is expressly understood that the employment relationships indicated in Appendix C do not constitute independently transferable assets but are referred to as relationships functionally referable to the business assets covered by Level 1 The related transfer takeover continuation hiring regulation or any other regulation will take place exclusively within the limits and with the effects provided for by the applicable legislation as well as where necessary after completing the union administrative and authorization requirements required by law and by the Procedure Bodies Regarding Level 1 the business assets subject to a potential transfer must be considered limited exclusively to the assets listed in Annexes A and B and the organizational and employment components listed in Annex C with the express exclusion of any additional assets contractual relationships credits debts authorizations licenses goodwill commercial relationships legal positions or subjective situations not expressly included in this Notice or in the deed of transfer without prejudice in any case to the mandatory effects provided for by applicable law The base price for submitting offers for Level 1 is set at 1 250 000 00 plus statutory taxes charges transfer costs any specialized contractor fees and any additional expenses charged to the successful tenderer as provided for in this Notice The minimum bid during the tender process is set at 10 000 00 Please note that if bids are received for LEVEL 1 AUCTION NO 10203 and are deemed priority according to the above criteria any bids submitted for LEVEL 2 AUCTION NO 10204 will be considered only if for any reason Level 1 is not awarded and the Level 2 auction will not begin ELECTRONIC SALE PROCEDURE WITH ASYNCHRONOUS ELECTRONIC MODE bids may be received exclusively electronically pursuant to art 21 of Ministerial Decree 32 2015 Electronic purchase offers must be submitted by submitting them to the Ministry s certified email address offertapvp dgsia giustiziacert it using only the pre filled form available on the ministry portal http venditepubbliche giustizia it The electronic offer is deemed submitted when the receipt is generated The asynchronous auction will take place on the website www venditegiudiziarieitalia it and subsequent websites and will last two hours subject to the submission of further bids The link to the auction page is below Auction 10203 Judicial Sales Italy
